Mutual non-disclosure (recipient acknowledgement)
By accepting, you (the "Recipient") agree that the materials in this data room — including financials, projections, customer data, cap table, and any other non-public information of Pushing Capital LLC (the "Company") — are Confidential Information disclosed solely to evaluate a possible investment.
Recipient agrees to: (1) keep the Confidential Information strictly confidential and not disclose it to any third party without the Company's prior written consent; (2) use it only to evaluate the prospective investment and for no other purpose; (3) protect it with at least reasonable care; and (4) on the Company's request, return or destroy it.
Excluded is information that is or becomes public through no fault of Recipient, was lawfully known before disclosure, or is independently developed. These obligations continue for two (2) years from acceptance. This acknowledgement is governed by the laws of the State of Delaware. Nothing here grants any license or obligates either party to proceed with a transaction.
